Service Agreement

This Service Agreement governs professional services and managed engagements provided by Nexvio Solutions to its clients.

01.Scope of services

Specific scope, deliverables, and timelines are set out in mutually executed Statements of Work (SOWs) that reference this agreement.

02.Fees and invoicing

Fees are detailed in each SOW. Invoices are net 15 days unless otherwise agreed. Late payments accrue interest at 1.5% per month.

03.Service levels

Our standard SLA targets 99.9% monthly uptime for hosted services and a one-business-day first-response time for support tickets.

04.Acceptance and change control

Deliverables are deemed accepted ten business days after delivery unless rejected in writing with specific reasons. Changes require mutual written approval.

05.Indemnification

Each party indemnifies the other for third-party claims arising from breach of confidentiality, intellectual property infringement, or gross negligence.

06.Force majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, terrorism, or government action.

07.Entire agreement

This agreement, together with executed SOWs, constitutes the entire agreement and supersedes all prior understandings.
